GENERAL CONDITIONS OF SALE AND USE BIOVA FRANCE

BIOVA, simplified joint stock company with capital of 60,000 euros, registered in the Toulouse trade and companies register under number 809915622, whose head office is located at 3 RUE ARIANE 31520 RAMONVILLE-SAINT-AGNE (hereinafter BIOVA), publisher and operator of the site “biova-france.fr” (hereinafter the “Site”), has established these general conditions of sale and use (hereinafter the “CGV-CGU”), governing access and use of the Site.

They also set the conditions and terms under which BIOVA agrees to provide the products and services (hereinafter the “Products” and the “Services”) presented on the Site.

ARTICLE 2. ACCEPTANCE OF THE CGV-CGU

Before any use of the Site or purchase of Products or Services on the Site, you acknowledge having read these General Terms and Conditions and you accept them without restriction or reservation.

You declare that you are legally capable of entering into a contract.

These CGV-CGU also apply to all variations or extensions of the Site on social or community networks, or applications, existing or future.

We advise you to download and/or print them so that you can keep them and refer to them in the future.

ARTICLE 3. ACCESS TO THE SITE

To access the Site, you must have terminal equipment connected to the Internet. You bear all costs relating to your digital environment (computer hardware, software and network connection), in particular Internet connection costs.

BIOVA may refuse access to the Site to any person who does not comply with these General Terms and Conditions.

ARTICLE 4. INTELLECTUAL PROPERTY RIGHTS

The brands, domain names, products, software, images, videos, texts or more generally any information subject to intellectual property rights are and remain the exclusive property of the seller. No transfer of intellectual property rights is made through these General Terms and Conditions. Any total or partial reproduction, modification or use of these goods for any reason whatsoever is strictly prohibited.

ARTICLE 5. AVAILABILITY

BIOVA strives to ensure access to the Site 24 hours a day, 7 days a week, except in cases of force majeure or events beyond its control, without guaranteeing any results or minimum level of quality regarding its availability.

BIOVA may at any time and without notice suspend or limit access to the Site, in order to carry out its maintenance, updating, modification of the content, or any other action necessary for its proper functioning.

ARTICLE 6. PERSONAL DATA

As part of its activities, BIOVA undertakes to implement processing of the personal data of users of its services that respects their privacy and complies with current French and European legislation.

What data do you collect?

  • For compliance with our plant quarantine facility approval (order R76-2022-264/DRAAF)

Your data is processed on the legal basis of BIOVA's legitimate interest:

  • For the management and improvement of the performance and functionalities of the Site;
  • For statistical analysis and Site activity;
  • For quality studies and sales statistics of the Products and Services offered;
  • For the fight against fraud and improving the security of the Site.

Your data is processed on the legal basis of your consent:

  • For carrying out commercial prospecting actions, by postal or electronic means, and advertising profiling for the benefit of BIOVA.
How long is your data kept?

Your data is kept for the duration of the contractual relationship between you and BIOVA.

The data necessary for invoicing and accounting, tax and regulatory obligations are archived for 10 years.

Data relating to commercial prospecting actions are kept for 3 years from your last activity on the Site.

What are the conditions for archiving your data?

BIOVA will archive purchase orders and invoices on a reliable and durable medium constituting a faithful copy in accordance with the provisions of article 1348 of the Civil Code.

BIOVA's computerized records will be considered by the parties as proof of communication, orders, payments and transactions between the parties.

Who is your data transmitted to?

Your data may be transmitted to BIOVA employees, as well as to subcontractors called upon to intervene for the proper functioning of the Site: IT service provider (hosting, maintenance, security, etc.), payment providers, subcontractor technical and logistical, statistical analysis and communication advice, quality auditor.

What are your rights ?

You can access the data concerning you, rectify it, request its erasure or exercise your right to limit the processing of your data.

You can also object to the processing of your data, for reasons relating to your particular situation, except in the case of commercial prospecting, to which you can object without reason.

You may withdraw your consent at any time, without affecting the lawfulness of processing based on consent given before its withdrawal.

You have a right to portability of your data.

You can issue directives regarding the retention, deletion or communication of your personal data after your death.

ARTICLE 7. FORCE MAJEURE

BIOVA cannot be held responsible for a delay or failure to fulfill its obligations caused by a case of force majeure, in the sense usually used by the French courts.

ARTICLE 8. MODIFICATIONS

BIOVA reserves the right to modify, at any time and without notice, these General Terms and Conditions, in particular to adapt to changes to the Site by making new functionalities available or deleting or modifying existing functionalities.

ARTICLE 9. PARTIAL NULLITY

If one or more stipulations of these CGV-CGU are declared null and void by application of the law, a regulation or a final decision of a French court, the other stipulations will retain all their force and validity. scope.

ARTICLE 10. APPLICABLE LAW – DISPUTES

This contract is exclusively subject to French law. In the event of a dispute, the French courts will have sole jurisdiction.

ARTICLE 11. RESERVATION OF OWNERSHIP CLAUSE

We retain ownership of the goods sold until payment of the full principal and accessory price. The delivery of a document creating an obligation to pay (draft or other) does not constitute payment within the meaning of this clause. Failure to pay may result in the goods being claimed.

ARTICLE 12. DISTRIBUTION OF DOCUMENTS

All documents presented or given to our clients are protected by intellectual property law and may under no circumstances be reproduced, communicated or distributed without prior written consent from their owners.

ARTICLE 13. LIABILITY

BIOVA undertakes to carry out the services with all the care and skill at its disposal. Civil liability insurance is taken out by Biova.

You are required to personally receive the Products, or to appoint a third party for this purpose.

Product delivery is ensured by the carrier designated by BIOVA. It is carried out by handing over physical possession or control of the Product to you, or to the designated third party.

Delivery times are expressed in working days; in the event of shipping, transport time must be added. The seller cannot be held responsible if transport is not carried out within the expected time frame. The delivery times shown on the accepted quote or the order form are purely indicative, and any delays do not give the customer the right to cancel the sale, refuse the goods or claim damages. and interests. Split deliveries must be accepted by the customer.

You are required to check the condition of the Products upon receipt. BIOVA cannot be held responsible for the delay or inability to deliver an order due to an error on your part in providing your contact details. All incidents caused by the customer (delay in confirmation, lack of elements, etc.) effectively delay the delivery time without any liability on the part of the seller being sought. In this case, BIOVA reserves the right to suspend delivery until the problem is resolved.

LABORATORY CASE

The analysis report can be viewed and downloaded from the secure BIOVA website (https://biova-france.fr) using secure access codes transmitted to a single contact.

Confidentiality is thus ensured. There is, however, a risk that certain information reaches another recipient, in which case BIOVA cannot be held responsible under any circumstances, its electronic messaging and its website generally presenting a high level of security.

The report is published in PDF format. The reports submitted are archived for 5 years.

In the event of a dispute, only the copy of the report kept by BIOVA is authentic.

TRAINING CASE

Following the completion of your training and passing the final exam, you will be able to find your results and certifications following your declaration to the following administrations:

  • For certiphyto: Public Services
  • For certibiocide: the website of the Ministry of Ecological Transition and Territorial Cohesion
  • For ACACED: the Website of the Ministry of Agriculture and Food Sovereignty

Regarding the BIOVA Sales Cycle certification, it is awarded by the BIOVA Training Center.

COUNCIL CASE

Advisory bulletins can be sent as an email attachment in PDF format.

The advisory bulletin can be viewed and downloaded from the BIOVA website (https://biova-france.fr) using a single secure link sent to a single contact.

For services requiring travel, a contribution to the costs will be charged in addition.

The analysis service requires a certain amount of your personal information, in particular in order to be able to provide you with the analysis report. You also undertake to inform BIOVA, by any means and as quickly as possible, in the event of any discovery or suspicion of fraudulent or unauthorized connection to your account.

BIOVA reserves the right to delete your account without notice in the event of violation of these General Terms and Conditions, and in particular:

  • In the event of use contrary to current legislation;
  • In the event of fraudulent use or theft of the identity of a third party;
  • In the event of infringement of the rights of BIOVA or a third party.

ARTICLE 16. PRODUCTS AND SERVICES

The essential characteristics of the Products and Services offered are presented on the Site.

You acknowledge having read this information prior to any order, reservation, registration or purchase from the site or through contact with BIOVA.

ARTICLE 17. COMPLIANCE

In accordance with article L.411-1 of the Consumer Code, the products and services offered for sale through these General Terms and Conditions meet the requirements in force relating to the safety and health of people, the loyalty of commercial transactions and consumer protection. Regardless of any commercial guarantee, the Seller remains liable for any lack of conformity and hidden defects in the product.

To place an order online, you must select the desired Products to add them to your basket.

You validate the details of your basket, the total price, or correct any errors, and indicate your billing and delivery address, as well as your means of payment.

You definitively confirm your order by clicking on the payment button. This confirmation constitutes an electronic signature on your part, equivalent to a handwritten signature, and firm and definitive acceptance of the sale.

Once payment has been accepted, the order is validated as quickly as possible by sending an acknowledgment of receipt by email to the address you have chosen.

The Products are offered while stocks last. In the event of unavailability, an equivalent Product may be offered. If you refuse, your order will be canceled and fully refunded.

BIOVA reserves the right to refuse an order for Products in abnormal quantities.

TRAINING CASE

You can pre-register for the training either by telephone with the BIOVA switchboard on 05 62 19 22 30, through the Site and the catalog or through a commercial action. You will then be sent a quote which you will need to return signed to the sender's address, who will then send you your agreement which certifies your registration for the training. You must read the latter and return it signed. Finally, your invitation is sent to you accompanied by the information necessary for the smooth running of your session (link for the videoconference, address of your meeting, etc.).

LABORATORY CASE

If you wish to benefit from the laboratory analysis service within BIOVA, you must have the order form found on the Site and complete it. CASE OF ADVICE PROVIDING

ARTICLE 19. PRICES AND PAYMENT TERMS

All quotes provided are valid for a period of 3 months, unless otherwise indicated.

Generally speaking, prices are stipulated excluding taxes and all taxes included, the amount of VAT and its rate are specified on the invoice.

We reserve the right to honor the first order with payment upon order, before delivery or in cash upon receipt of the goods. No discount will be granted for cash or advance payment. For account customers, payment of the invoice is made within a maximum period of 30 days. Any other deadline will be subject to clarification mentioned in the quote or agreement. Late payment penalties are payable from the due date for payment of the invoice at the rate of 10%. These late payment penalties apply for each day of late payment.

Dans le cas où nous aurions recourt à un service de recouvrement pour récupérer les sommes dues, celles-ci se trouveraient facturées en sus au client. Les avoirs sont valables uniquement dans notre établissement et ne sont pas remboursables.

SHOP CASE

Les prix sont indiqués sur le Site en euros toutes taxes comprises pour les comptes particuliers et en hors taxes pour les comptes professionnels. Ils tiennent compte de la TVA en vigueur au jour de la commande et fonction des produits. 

BIOVA se réserve le droit de les modifier à tout moment. Le prix appliqué est celui en vigueur au moment de la confirmation de la commande.

Exceptionnellement, en cas d’indication erronée d’un prix manifestement dérisoire par rapport à la valeur réelle de l’article, la commande pourra être annulée.

Les Produits demeurent la propriété de BIOVA jusqu’au paiement complet du prix.

Le règlement s’effectue comptant, par carte bancaire via système sécurisé ou de la manière suivante : chèque, virement bancaire, mandat administratif.

Votre moyen de paiement est débité à la commande. 

TRAINING CASE

Les prestations de formation professionnelle continue définies par les articles L 6311-1 et L 6313-1 du Code du Travail réalisées par BIOVA sont exonérées de la TVA.

Pour les formations en visio et e-learning, le paiement, lorsqu’il est fait en ligne, ne sera prélevé qu’après la première connexion à la plateforme.
Pour les demandes de prise en charge par un OpCo (Opérateur de Compétences), le client recevra un message qui lui précisera qu’en absence de retour sous 10 jours, la facture lui sera adressée et devra être honorée avant le premier jour de la session.

LABORATORY CASE

Toute modification entraînant une réédition d’un rapport de résultats sera facturée 20 euros HT.

Tout refus de paiement ou paiement partiel entraîne l’annulation automatique de la commande, dont vous serez informé par courrier électronique. 

Vous acceptez expressément que les factures vous soient adressées au format électronique. 

BIOVA se réserve également le droit de refuser toute commande dans l’hypothèse où vous n’auriez pas réglé totalement ou partiellement une commande précédente ou dans le cas où un litige serait en cours. 

Les données enregistrées par BIOVA valent preuve des transactions conclues sur le Site.

Dès le devis signé et les actions démarrées, le droit de rétractation est perdu.  

ARTICLE 20. DROIT DE RÉTRACTATION

  • Droit légal de rétractation 

Le client consommateur dispose d’un droit légal de rétractation prévu par l’article L221-18 du Code de la consommation. 

Vous pouvez exercer votre droit, sans avoir à motiver votre décision, dans un délai de 14 jours à compter de la réception des Produits par vous ou le tiers, autre que le transporteur, que vous avez désigné. 

Dans le cas d’une commande portant sur plusieurs Produits livrés séparément ou dans le cas d’une commande de Produit composé de lots ou de pièces multiples dont la livraison échelonnée sur une période définie, le délai court à compter de la réception du dernier Produit ou lot ou de la dernière pièce. 

Pour les contrats prévoyant la livraison régulière de Produits pendant une période définie, le délai court à compter de la réception du premier Produit.

Pour exercer votre droit, vous devez informer BIOVA de votre décision de vous rétracter par l’envoi d’un e-mail, avant l’expiration du délai imparti, dénuée d’ambiguïté, exprimant votre volonté de vous rétracter, de la manière et aux coordonnées suivantes : 

En contactant le secrétariat de BIOVA à l’adresse suivante : boutique@biova-france.fr , et en précisant en objet de votre courrier électronique “Demande de retour produit”, pour démarrer le processus de retour. 

Vous devez renvoyer ou restituer les Produits à BIOVA, sans retard excessif et, au plus tard, dans les 30 jours à compter de la date de votre achat. 

À moins qu’il n’ait proposé de récupérer lui-même les Produits, BIOVA peut différer le remboursement jusqu’à récupération des Produits ou jusqu’à ce que vous ayez fourni une preuve de l’expédition de ces Produits, la date retenue étant celle du premier de ces faits.

Seuls les produits retournés dans leurs emballages d’origine seront acceptés. Le retour ne peut être appliqué aux produits vivants et aux médiateurs chimiques.

BIOVA effectuera le remboursement du Produit par le biais d’un avoir utilisable sur toute la boutique de BIOVA suite à la réception de votre produit retourné.

BIOVA ne rembourse pas les frais de livraison.

  • Exceptions au droit de rétractation 

Conformément à l’article L221-28 du Code de la consommation, le droit de rétractation ne peut être exercé dans les cas suivants : 

  • La fourniture de biens ou de services dont le prix dépend de fluctuations sur le marché financier échappant au contrôle de BIOVA et susceptibles de se produire pendant le délai de rétractation ;
  • La fourniture de biens confectionnés selon vos spécifications ou nettement personnalisés ; 
  • La fourniture de biens susceptibles de se détériorer ou de se périmer rapidement ; 
  • La fourniture de biens que vous avez descellée après la livraison,
  • La fourniture de biens qui, après avoir été livrés et de par leur nature, sont mélangés de manière indissociable avec d’autres articles.
TRAINING CASE

Dans le cadre des formations à distance, ce droit est perdu dès que le client se connecte à partir du lien d’accès à la formation reçu par email.

LABORATORY CASE

Les analyses sur vos échantillons sont réalisées dès la réception de votre envoi pour vous assurer les délais les plus courts possibles, il est donc impossible de vous rétracter dès lors que vos échantillons sont envoyés, soit lors de votre prise de commande.

ARTICLE 21. FORMALISATION DU CONTRAT

La formalisation de tout contrat se fait à la suite des conditions établies selon la commande inhérente à chaque prestation ou vente.

TRAINING CASE

Une convention particulière de formation précise les modalités de déroulement de la formation.
Pour les formations e-learning, le client s’engage à respecter les conditions d’utilisation de la plateforme e-learning.

  1. Absence pendant la formation :

    Tout cursus commencé est dû dans son intégralité et fera l’objet d’une facturation client.
    BIOVA distinguera sur lesdites factures correspondantes les sommes dues au titre des heures suivies et les sommes dues au titre du dédommagement suite à l’abandon de la formation.

  2. Cas de l’annulation :

    Toute prévision d’annulation devra être communiquée dans les 5 jours ouvrés avant le début de la session de formation. À défaut,  le stagiaire défaillant sera tenu de payer la somme totale de la formation sauf en cas d’urgence, maladie, décès d’un proche ou autre motif valable.

En cas d’insuffisance de participants pour les formations en visioconférence ou en présentiel, BIOVA communiquera l’annulation aux stagiaires et le report éventuel dans les 5 jours ouvrés qui précèdent le démarrage de la session de formation. Aucun remboursement ne sera réalisé.

COUNCIL CASE

Toutes prestations de conseil nécessitent un contrat validé entre les deux parties.

Une assurance responsabilité civile couvrant le conseil a été contractée par l’entreprise.

LABORATORY CASE

Le laboratoire devra être consulté au préalable pour des prestations non inscrites au catalogue et pourra refuser les échantillons à analyser n’entrant pas dans le cadre des compétences du laboratoire.

Biova Laboratoire n’est pas responsable des conditions d’acheminement des échantillons. Elles sont aux risques et périls du client.

La destruction accidentelle de ces échantillons ne saurait en aucun cas être une cause de responsabilité du laboratoire. Les frais de retour de l’échantillon seront à la charge du client.

À l’issue de l’analyse, les reliquats d’échantillons sont détruits.

La transmission du rapport d’analyse (sous format pdf) se fait via l’espace client sur le site laboratoire.biova-france.fr.

Les parties grisées sur le rapport d’analyse sont des informations fournies par le client.

Le laboratoire s’engage à conserver les données brutes correspondantes aux résultats et à fournir la copie conforme des résultats pendant une durée de 5 ans après l’arrivée de l’échantillon au laboratoire, sauf conditions particulières contractuelles prolongeant ce délai.

Le laboratoire est irrévocablement autorisé par le client à délivrer le rapport à un tiers, s’il en a reçu instruction du client ou si cela découle implicitement des circonstances, usages, pratiques ou règlements.

Conformément à l’article L201-7 du Code rural et de la pêche maritime, le laboratoire communiquera immédiatement au service régional de l’alimentation tout résultat d’analyse conduisant à suspecter ou constater la présence d’un danger sanitaire de première catégorie.

ARTICLE 22. RÈGLES ET MODALITÉS CONCERNANT L’USAGE DU LOGO COFRAC (cas du Laboratoire)

Les clients ne sont pas autorisés à utiliser la marque d’accréditation, en dehors de la reproduction intégrale des documents que BIOVA leur a émis, dont les rapports.

Les rapports d’analyse ne peuvent être reproduits que dans leur intégralité.

ARTICLE 23. CONTENUS PUBLIÉS PAR L’UTILISATEUR

Vous avez la possibilité de publier sur le Site le contenu suivant : commentaire après achat/formation/prestation.

Vous demeurez pleinement responsable du contenu que vous publiez sur le Site. À ce titre, vous vous engagez à ne pas publier de contenu illicite ou portant atteinte aux droits de tiers, ou de nature choquante, violente, pornographique, incitant à la haine ou à la discrimination.

En publiant sur le Site, vous concédez à BIOVA une licence gratuite l’autorisant à reproduire, représenter et adapter le contenu que vous publiez, à des fins publicitaires ou commerciales, par tout moyen et sur tout support connu ou inconnu à ce jour, dans le monde entier et pour toute la durée de sa protection légale. 

BIOVA se réserve le droit de refuser ou supprimer tout contenu publié, sans préavis ni justification.

ARTICLE 24. RÉCLAMATION

Toute réclamation devra nous être adressée soit par courrier recommandé avec accusé de réception sous 72 heures soit par mail en indiquant en objet « Réclamation client ». Faute de quoi, ladite réclamation ne sera pas prise en compte.

Sur demande, toute partie intéressée peut accéder à la procédure interne BIOVA de traitement des réclamations.
